1. Who we are and what you're agreeing to

Dax Connect ("the platform") is operated for users in India by DaxHive [India] Private Limited (legal name to be confirmed), an Indian private limited company ("we", "us", "DaxHive"). By creating an account or using Dax Connect, you agree to these Terms of Use, our Privacy Policy and our Disclaimer. If you do not agree, please do not use the platform.

2. What Dax Connect is — and is not

Dax Connect is a discovery and networking platform that helps founders, investors, accelerators and service providers find and meet each other through non-binding, double-opt-in introductions.

Dax Connect is not a stock exchange recognised by SEBI under the Securities Contracts (Regulation) Act, 1956, and is not registered with SEBI in any capacity — including as a stock broker, merchant banker, investment adviser, research analyst or alternative investment fund. No securities are listed, offered, issued or traded on Dax Connect, and no money moves through the platform. See the full disclaimer.

3. Eligibility and your account

  • You must be at least 18 years old and capable of entering into a binding contract under Indian law.
  • One person, one account. You may hold a single account, in your own name, under a single role chosen at signup.
  • Accurate information. Everything you submit — your profile, your LinkedIn URL, and (for founders) your startup's details — must be true, current and not misleading. Misrepresentation is grounds for immediate termination.
  • Verified LinkedIn. Membership requires identity validation against a genuine LinkedIn profile that belongs to you. Verification confirms identity only; it is not an endorsement of you or your statements.
  • You are responsible for keeping your login credentials secure and for all activity under your account.

4. Membership rules

These rules protect every member. Breaking them is grounds for suspension or termination.

  • Keep gated content gated. Deal-related information you see on the platform — startup names paired with funding details, pitch content, interest activity, member identities — is confidential to the membership. Do not publish, share, screenshot or redistribute it outside the platform, publicly or privately, without the consent of the member concerned.
  • No solicitation or spam. Do not mass-message members, send unsolicited promotions, scrape member data, or use the platform to market unrelated products or services. Introductions on Dax Connect are double-opt-in by design; respect that in your own conduct.
  • No public advertisement of a fundraise. Founders must not publicly advertise or circulate their Dax Connect profile, interest metrics, or any offer of securities to the public at large, and must not represent that Dax Connect endorses or has approved any fundraise.
  • No impersonation of any person or entity, and no accounts operated on behalf of someone else.
  • No unlawful, defamatory, obscene, infringing, misleading or fraudulent content, and no content that violates another person's privacy or intellectual property.
  • No attempts to transact on-platform. Do not use Dax Connect to make offers of securities, collect commitments, or move money. Interest expressed on Dax Connect is a non-binding indication only.

5. Founder and investor responsibilities

Founders are solely responsible for compliance with all laws applicable to their fundraising — including Section 42 of the Companies Act, 2013 and rules made under it (identified offerees, the 200-person limit per financial year, offer-letter and filing requirements) and applicable SEBI regulations.

Investors join on the basis of a self-certification that they are financially sophisticated, understand early-stage risk and can bear total loss. Dax Connect validates identity, not wealth, and does not verify any member's financial capacity or intent. Every member must conduct their own due diligence and take their own professional advice.

6. Non-binding interactions; no funds

An "interest" indication on Dax Connect, including any indicated amount, is a non-binding expression of intent for discovery and introduction purposes only. It is not an offer, acceptance, commitment, subscription or contract, creates no obligation on any member, and may be withdrawn at any time. Dax Connect does not collect, hold, pool, transmit or process any investment monies and provides no escrow, payment or settlement services. Any transaction between members occurs entirely outside the platform, at the members' own risk.

7. Intellectual property

The platform — its software, design, wordmark and content we create — belongs to DaxHive and its licensors. You may not copy, modify, reverse-engineer or create derivative works from it.

Content you submit remains yours. By posting it you grant us a non-exclusive, royalty-free licence to host, display and distribute that content within the platform to the members you make it visible to, for the purpose of operating Dax Connect. Founder pitch content is authored by, and is the responsibility of, the founder who posts it.

8. Content moderation and takedown

We may remove content or restrict accounts that violate these terms, our published content rules, or applicable law — including on receipt of lawful orders under the Information Technology Act, 2000 and rules made under it. Where your content is disabled, we will give you notice and an opportunity to respond, except where the law requires otherwise.

9. Suspension and termination

We may suspend or terminate your account if you breach these terms, provide false information, harm other members, or create legal risk for the platform. You may close your account at any time; certain records are retained after closure as required by law (see the Privacy Policy).

10. Disclaimers and limitation of liability

Dax Connect is provided "as is" and "as available", without warranties of any kind. We do not guarantee that any introduction, match or conversation will occur or lead to any outcome. To the maximum extent permitted by law, DaxHive is not liable for the acts, omissions, statements or dealings of any member, or for any indirect, incidental or consequential loss arising from your use of the platform. Nothing in these terms limits liability that cannot be limited under Indian law.

11. Changes to these terms

We may update these terms from time to time. Material changes will be notified on the platform or by email, and we notify members of the rules and the consequences of non-compliance at least once a year. Continued use after a change takes effect constitutes acceptance.

12. Governing law and jurisdiction

These terms are governed by the laws of India. Subject to any mandatory law to the contrary, the courts at Bengaluru, Karnataka have exclusive jurisdiction over any dispute arising out of or relating to Dax Connect or these terms.

13. Grievances and contact
