The short version. Dax Connect is a discovery and networking platform. It is not a stock exchange, broker, investment adviser, or crowdfunding platform, is not registered with SEBI, and does not solicit or facilitate investment. All interactions are non-binding expressions of interest. Investments, if any, occur entirely off-platform between the parties.
1. Not a stock exchange; not SEBI-registered
Dax Connect is operated by the Indian private limited company of DaxHive. Dax Connect is not a stock exchange recognised by the Securities and Exchange Board of India (SEBI) under the Securities Contracts (Regulation) Act, 1956, and is not registered with SEBI in any capacity — including as a stock broker, merchant banker, investment adviser, research analyst or alternative investment fund. No securities of any startup are listed, offered, issued or traded on Dax Connect, and Dax Connect does not permit any primary subscription or secondary transfer of securities through the platform.
2. No offer or solicitation
Nothing on Dax Connect constitutes an offer, invitation or solicitation to subscribe to or purchase securities, or an invitation to the public to invest. Startup profiles and funding goals shown inside the gated platform are informational statements by founders about their companies — they are not offer documents. Any offer of securities, if made, will be made privately and off-platform by the startup directly to identified persons, in compliance with Section 42 of the Companies Act, 2013 and applicable law. Responsibility for that compliance rests with the founder, not with Dax Connect.
3. Expressions of interest are non-binding
An "interest" indication on Dax Connect, including any indicated amount, is a non-binding expression of intent for discovery and introduction purposes only. It is not an offer, acceptance, commitment, subscription, reservation or contract; it creates no obligation on any member; and it may be withdrawn at any time. Aggregate interest figures shown to founders are indicative only.
4. No funds handled
Dax Connect does not collect, hold, pool, transmit or process any investment monies, and does not provide escrow, payment or settlement services. Any transaction between members occurs entirely outside the platform, between the parties, at their own risk.
5. No investment advice; no endorsement
Nothing on Dax Connect is investment advice, and Dax Connect does not provide investment advice within the meaning of the SEBI (Investment Advisers) Regulations, 2013. Nothing on the platform is a recommendation, endorsement, rating or evaluation of any startup, investor or investment. Matching and filtering reflect members' own stated preferences — the platform never ranks, scores or recommends. Verification of a member's identity is not an endorsement of that member or of the accuracy of their statements.
6. Investor self-certification
Investors join Dax Connect on the basis of their own declaration that they are financially sophisticated, understand the risks of early-stage investment, and can bear the loss of their entire investment. Dax Connect verifies identity (via LinkedIn), not wealth or accreditation. Dax Connect does not verify any member's financial capacity, net worth, accreditation status, or intent or ability to invest, and makes no representation about them to anyone.
7. Do your own diligence
Startup investments are high-risk and illiquid: they are unlisted, hard to value, hard to exit, and total loss of capital is a realistic outcome. Information on Dax Connect is provided by members and is not independently verified by Dax Connect. Before acting on anything you see on the platform, conduct your own due diligence and consult your own legal, tax and financial advisers.
8. Founder responsibility
Founders are solely responsible for the accuracy of their profiles and for compliance with all laws applicable to their fundraising, including the Companies Act, 2013 and applicable SEBI regulations. Founders must not publicly advertise their Dax Connect profile or any offer of securities, and must not represent that Dax Connect endorses or has approved their fundraise.
